Order Confirmation
Any prices quoted for third party products/software are subject to formal confirmation by the supplier(s) and such an order will not be confirmed by In Distribution until all third party suppliers have accepted the order. Orders for software licences can not be cancelled once placed.
Payment Terms
Unless otherwise agreed in writing, payment terms are with order and we will not place any third party orders until we have received payment from you.
If we offer you payment terms, invoices not paid within thirty (30) days from the invoice date will bear interest from the due date until paid at a rate of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, whichever is less. Fees quoted may not include VAT which will be added at the current rate where applicable.
Software Licences
Software will be delivered by supplying the End Customer with license keys via email. Licence keys will not be issued until full payment is received unless otherwise agreed. We require at least 10 working days from receipt of signed order to issue licence keys.
Zimbra software licenses shall be provided in accordance with Zimbra’s standard License Agreement (LA) available at http://www.zimbra.com/license/zimbra_network_la.pdf
Purchase Orders
If a Purchase Order is required in order for payment to be made in connection with any orders, you will provide such purchase order to In Distribution concurrent with the execution of any order.
Pre-printed or “boilerplate” provisions contained on any purchase order, which attempt to add to or change, or which conflict with these terms and conditions shall be deemed deleted and have no effect on either party’s rights or obligations.
Currencies
Unless otherwise agreed, prices quoted in this Purchase Agreement in currencies other than GB Pounds will be converted at time of Invoice into GB Pounds at current bank rates.
Confidentiality
Quotes and all pricing information are confidential information of In Distribution. The recipient may use it only for the purpose of determining whether to proceed with the proposed transaction. The recipient may disclose it only to those individuals within the recipient’s organisation who have a need to know it for the stated purpose.
General
Unless otherwise agreed in writing, the validity, construction and performance of the Contract/Agreement/Licence shall be governed by the laws of England.
In the event of a dispute arising in connection with the Contract/Agreement/Licence, the Parties shall attempt to settle their differences in an amicable manner; in the event that any dispute cannot be so settled, it shall be finally settled under the Rules of Conciliation and Arbitration of the International Chamber of Commerce by three arbitrators appointed in accordance with the said rules; unless otherwise agreed in writing, the arbitrators shall sit in England. In accordance with Sections 45 and 69 of the Arbitration Act 1996, the right of appeal by either Party to the High Court on a question of law arising in the course of any arbitral proceedings or out of an award made in any arbitral proceedings is hereby agreed to be excluded.
